A long-awaited transaction involving major European private equity firm Apax Partners acquiring a significant minority stake in IBS Software from Blackstone, for which Ogier in Luxembourg acted as counsel, has been selected as one of 50 landmark deals and disputes in the India Business Law Journal's Deals of the Year 2023.
Ogier advised Apax Partners on the approximately US$450 million transaction, which completed in August 2023.
The Singapore-headquartered IBS Software – a leading provider of modern Software-as-a-Service (SaaS) solutions to the global travel and logistics industry - employs around 4,000 people globally, with a significant presence in India. The acquisition required merger control consents, including that of the Competition Commission of India.
The Ogier team was led by partner Laurent Thailly, assisted by associates Lucie Steinmetz and Elise Berton. Laurent said: "We are delighted to have worked with our long-standing client, Apax Partners, on this high-profile acquisition, which demonstrates the range of legal and corporate advice Ogier in Luxembourg can provide."
The team's role included the establishment of the Luxembourg holding structure and the negotiation and preparation or review of all transaction documents related to the acquisition and its financing from a Luxembourg corporate perspective, up to the completion of the deal.
