Ogier advises on acquisition of satellite communication company

Ogier is advising one of the world's leading private equity investment groups on the US$ 3,400,000,000 acquisition of a satellite communication company, in conjunction with a consortium of other private equity investors.

The transaction also involves a number of US, UK and Canadian investment funds and requires jurisdictional advice from Luxembourg, Guernsey and the UK.

Ogier is advising on the corporate and finance legal aspects of the transaction including the establishment of the Luxembourg vehicles involved in the acquisition, the review and negotiation of all the corporate and financing documents and the establishment of tailor-made mechanisms for the implementation of a management incentive program and the optimisation of the structure. Ogier is also providing advice on the Guernsey legal aspects of the transaction.
