2023年2月17日，中国证监会发布了一系列关于境内企业境外发行上市的新规，包括《境内企业境外发行证券和上市管理试行办法》（“境外上市新规”）。境外上市新规于2023年3月31日生效。
根据境外上市新规，寻求境外发行上市的境内企业需要向证监会做出备案申请，提交包括备案报告和境内律师出具的法律意见书等备案材料以完成备案程序。
