This year, our Corporate lawyers have collaborated across jurisdictions to meet the evolving challenges and needs of our clients.
Despite another year of uncertain market conditions, our team has provided clients with the expertise, agility and innovative mindset necessary to maximise growth opportunities and achieve success.
From big-ticket, international deals involving high profile clients to significant domestic transactions spanning industry sectors, our award-winning team enjoyed a busy and successful 2024. We also welcomed new partners in London, Jersey and the Cayman Islands, as well as a number of key senior hires.
With a growing team and continued investment in our people and our technology, we look forward to supporting our clients' needs in the year ahead.
In the past 12 months, Ogier grew its international team to 1,200 people, with more than 120 legal partners.
We celebrated the first anniversary of Ogier in Dubai, where we've seen increased client demand for our legal, regulatory and corporate and fiduciary services.
We expanded our London office, moving to new London premises and growing the team to more than 70 professionals, providing greater flexibility and service to our clients.
Our global regulatory legal offering was strengthened with the appointment of a new global head, Rachel Cropper-Mawer, bringing together the key regulatory lawyers from across the law firm. The regulatory legal team also works closely with our team at Ogier Regulatory Consulting.
Ogier's global head of Corporate, Nathan Powell, reflects on the market trends in 2024, and looks ahead to some of the opportunities to be had in 2025.
We are still seeing macro-economic, geopolitical and regulatory trends affecting the markets and creating a challenging backdrop for investment. We began the year with cautious optimism but we hoped to see areas of emerging opportunities for dealmakers, which is what we saw play out with a steady pipeline of deals throughout the year. We are seeing momentum particularly in the technology, energy, healthcare, life sciences and infrastructure sectors, which are less affected by market volatility.
In Europe, we saw an uptick in deal activity in the first half of 2024 and there's renewed optimism in the M&A environment, though equity capital markets activity has remained more subdued. In Ireland, economic sentiment remains strong and this year has seen an increase in domestic and non-Irish activity in the Irish private equity market.
Our team in Jersey advised Metals Acquisition Limited on its A$325 million initial public offering (IPO) on the Australian Securities Exchange (ASX) – the largest mining listing on the exchange in more than five years.
Our BVI team advised Brazilian drilling rig operator Constellation on the re-domiciliation of its US$3 billion BVI based rig and asset holding structure, and related financing arrangements, out of BVI and into Netherlands.
We acted as Jersey and Cayman Islands counsel to Crown LNG Holdings AS, a leading provider of liquified natural gas infrastructure, on its US$685 million business combination with Catcha Investment Corp and subsequent listing of newly incorporated Jersey entity, Crown LNG Holdings Limited, on Nasdaq.
Ogier in Jersey advised long-standing client and gold producer Centamin plc on its recommended US$2.5 billion acquisition by AngloGold Ashanti plc.
A multi-disciplinary team advised global lithium producer Arcadium Lithium on its US$6.7 billion acquisition by Rio Tinto, an Anglo-Australian mining company.
Our team in Hong Kong advised TMT Acquisition Corp on its business combination with eLong Power Holding Limited, a provider of high power battery technologies for commercial and speciality alternative energy vehicles and energy storage systems.
Our Jersey and Cayman corporate and finance experts advised Ardonagh, the independent insurance distribution business backed by Madison Dearborn Partners and HPS Investment Partners, on its A$2.43 billion acquisition of PSC Insurance Group Limited pursuant to a scheme of arrangement.
Our team provided Jersey and Guernsey counsel to Brooks Macdonald Group plc on the sale of its wholly owned subsidiary, Brooks Macdonald Asset Management (International) Limited and its subsidiaries, to Canaccord Genuity Wealth (International) Holdings Limited for a total consideration of up to ÂŁ50.85 million.

Our Cayman team advised long-standing client Compass, an independent asset management and investment advisory firm in Latin America, on its strategic business combination with Nasdaq-listed Vinci Partners Investments Ltd.
Our Corporate team in Hong Kong advised on Chinese electric car brand Zeekr’s US$441 million listing on the NYSE - the biggest Chinese stock offering in the US in the past three years.
Ogier advised Lyra Bidco Limited, a newly formed company indirectly wholly owned by investment funds advised by affiliates of Blackstone Inc, on the US$1.572 billion acquisition of Hipgnosis Songs Fund Limited by means of a Guernsey scheme of arrangement.
Ogier provided Guernsey, Jersey and Irish legal counsel to Wildstone on its landmark ÂŁ350 million infrastructure refinancing - the first infrastructure debt raised in the European Out-of-Home (OOH) media sector and the first widely syndicated financing for Wildstone.

Our team in Jersey advised Vantage Data Centers, a leading global provider of hyperscale data centre campuses, on the first-ever securitisation of data centre assets in EMEA. The transaction raised ÂŁ600 million and includes an additional ÂŁ100 million in unfunded Variable Funding Notes.
Ogier's corporate, finance and tax experts in Luxembourg and Guernsey advised the Inmarsat group – a British satellite telecommunications company - in respect of their Luxembourg and Guernsey group companies – Connect Finco SARL and Connect US Finco LLC – on their upsized US$1.975 billion senior secured notes due 2029 and the negotiation of a multi-jurisdictional collateral package.
Our team in Ireland has advised Edward Mulligan on the sale of site security system solutions provider Optosafe Ireland to Orbis Protect, a leading provider of critical security services. Orbis Protect is backed by Synova Capital.
Ogier in Guernsey has advised CityFleet Networks Limited, a subsidiary of multinational transport services provider ComfortDelGro, in the ÂŁ269.1 million acquisition of the Addison Lee group.
Ogier in Hong Kong provided Cayman Islands and BVI counsel to Cloud Factory Technology Holdings Limited on its HKD529 million Hong Kong IPO and listing on the Main Board of the Hong Kong Stock Exchange and the international offering in reliance on Regulation S.
Ogier BVI and Cayman advised Masa on all aspects of the construction of a "zero-knowledge" data marketplace and network for Masa, including the provision of comprehensive regulatory advice, and advice on the administration of token grants, listing agreements and market making agreements, and all other aspects of their business.
Ogier in the BVI and Cayman advised Pi Network on BVI structuring and legal aspects for its innovative project to allow greater accessibility to crypto mining through a mobile app.

The first ever such licence awarded in BVI. ONE is a full-suite financial services provider of global payments, spot FX, crypto trading and crypto payment processing solutions.
Ogier advised Agora on the issue of new USD-backed stablecoin called AUSD. Ogier advised on all aspects of a complex BVI based structure, including having to give extensive regulatory advice across numerous statutes, for the issuance, repurchase and marketing of the stablecoin.

In February 2021 we made a public commitment to reach 30% female leadership by 2025 – a target we met in 2022 – and 40:40:20 (40% female, 40% male and 20% either female, male or non-binary) by 2030.
We are proud to be one of the first international law firms to publish an annual gender pay gap report covering all our jurisdictions.
In terms of leadership in our global Corporate law team, we reached the milestone of 25% female partners in 2024, and 61% of our worldwide Corporate legal team are female.

Ogier's Environmental Impact Policy sets out our approach to improving our environmental performance beyond its legal obligations. We have set ambitious reduction targets for our carbon emissions through the Science Based Targets initiative (SBTi) – targets grounded in climate science, in line with the global net-zero goal.
We are also members of the Net Zero Lawyers Alliance (NZLA) – an organisation we are working with to develop industry best practices.
To achieve these targets, we have developed strategies and are taking practical steps in the priority areas (energy, business travel, employee commuting and other relevant supply chain emissions).
