TISEA publishes new Specialist Companies Listing Rules

The International Stock Exchange Authority Limited (TISEA) has published a new rulebook for the listing of Specialist Companies on its Equity Market, which come into effect from 11 November 2024.

The new rulebook (the Specialist Companies Listing Rules) aims to cater for private structures with qualified investors, which would not generally fit within the existing Equity Market Listing Rules (which focus on trading companies and investment vehicles). 

The new Specialist Companies Listing Rules are streamlined and more flexible than the existing Equity Market Listing Rules, with simplified initial application, disclosure and continuing obligation requirements. They provide greater flexibility to companies engaged in specific activities such as financial restructuring and closely held REITs.

REITs currently held on the existing Equity Market Listing Rules will, if eligible, be able to seek a re-categorisation and admission as Specialist Companies. There is no obligation for securities to be traded or for any market to be made in the securities.
