Ogier in Hong Kong acted as Cayman Islands counsel to Future Vision II Acquisition Corp on its US$57.5 million initial public offering on Nasdaq with full exercise of underwriter's over-allotment option.
Future Vision II Acquisition Corp, a Cayman Islands incorporated special purpose acquisition company (SPAC), announced the closure of its initial public offering (IPO) on 13 September 2024. The IPO included 5,750,000 units, 750,000 of which represented the additional units issued upon the full exercise of the underwriter's over-allotment option. The offering was priced at US$10 per unit, raising gross proceeds of US$57.5 million.
The Ogier team was led by partner Cecilia Li, with support from the firm's global head of Corporate Nathan Powell, associate Randa Leung and legal manager Kingston Tang. The team worked closely with the SPAC's US counsel, Rimon PC, and Greenberg Traurig, LLP served as legal counsel to the sole book-running manager of the offering, Kingswood Capital Partners, LLC.
