Ogier's Corporate team in Luxembourg advises on acquisition of UK retail centres

Ogier's Corporate legal team in Luxembourg has advised Magnetar Capital on the refinancing of two UK town centre retail acquisitions.

The team advised on the structuring prior to the acquisition, and restructuring of the group of companies post-acquisition, of Luxembourg entities owning shopping centres in the UK – namely One Stop Shopping Centre in Perry Barr, Birmingham, and Corby Town Shopping and Willow Place, Corby.

The team also carried out the due diligence reports of the targeted entities based in Luxembourg, Perry Bar S.à r.l. and Corby Town Centre S.à r.l and the negotiation of the sale-purchase agreement.

The financing of the acquisition was provided by Leumi Bank, with Ogier assisting Magnetar on the negotiation of the banking financing with Leumi as well as on the securities to be provided by Magnetar to Leumi to secure the facility.

The team was led by Luxembourg Legal Services partner Bertrand Géradin, assisted by senior associate Maxime Wagner and associate Lucie Steinmetz.

Magnetar Capital was founded in 2005 and invests in fixed income, energy, quantitative and event-driven strategies. It is acquiring the above properties in association with Northdale Asst management from Europa Capital and Helaba Bank.
