Ogier in Hong Kong advises Nova Vision Acquisition Corp. on business combination with Real Messenger Holdings Limited

Ogier's Corporate team in Hong Kong has advised Nova Vision Acquisition Corp. on its business combination with Real Messenger Holding Limited. 

Nova is a Nasdaq-listed special purpose acquisition company incorporated (SPAC) in the British Virgin Islands (BVI). Real Messenger, an innovative chat-based platform reimagining real estate connections, is incorporated in the Cayman Islands.

The business combination involved a cross-border statutory merger in the BVI and Cayman Islands, followed by another statutory merger in the Cayman Islands. The business combination transaction closed on 19 November 2024. 

As a result of the mergers, both Nova and Real Messenger became wholly owned subsidiaries of Real Messenger Corporation, a Cayman Islands incorporated company, which began trading on Nasdaq under the ticker symbols RMSG and RMSGW on 20 November 2024.

Nova was provided BVI and Cayman Islands legal services by partner Florence Chan, with support from the firm's global head of Corporate, Nathan Powell, legal manager Anna Cheung and paralegal Jenson Ng.
