Ogier advises Inmarsat in US$1.975 billion senior secured notes offering

Ogier's corporate, finance and tax experts in Luxembourg and Guernsey have advised the Inmarsat group in respect of their Luxembourg and Guernsey group companies – Connect Finco SARL and Connect US Finco LLC – on their upsized US$1.975 billion senior secured notes due 2029 and the negotiation of a multi-jurisdictional collateral package.

The aggregate principal amount of the oversubscribed offering was increased from the initial offering size of US$1.25 billion. Connect Finco SARL and Connect US Finco LLC (the issuers) are wholly owned subsidiaries of Connect Bidco Limited (Inmarsat), a wholly owned indirect subsidiary of Viasat.

The Ogier team assisted with the preparation and negotiation of the local law aspects of the offering and the implementation of a multi-jurisdictional collateral package to secure the new notes offering. Ogier's corporate and finance specialists worked alongside Latham & Watkins as lead counsel.

In Luxembourg, the team was led by Corporate partner Laurent Thailly, with support from counsels Constantin Iscru from the Banking and Finance team and David Al Mari from the Corporate team. In Guernsey, Banking and Finance expertise was provided by partner Christopher Jones, managing associate Matthew Macfarlane and senior associate Jonathan Branch.
