Ogier's Corporate team in Jersey advised Assura PLC on its acquisition of Northwest Healthcare Properties' UK private portfolio, in a deal worth £500 million.
Assura PLC (Assura) is a publicly listed real estate investment trust (REIT) and one of the UK's leading specialist healthcare property investors and developers. Ogier provided Jersey legal advice to Assura, advising on Jersey due diligence, transactional and financing aspects of the deal.
Following the strategic acquisition of the portfolio – consisting of 14 fully operational private hospitals – Assura has stated that it is uniquely positioned in the UK as a diversified healthcare REIT.
The Ogier team was led by partner Simon Dinning, with support from managing associate Amy Garrod, senior associate Alex Fisher, and associates Hugo Reid and Lara Morand.
Simon said: "Ogier is delighted to advise Assura on this significant strategic acquisition.
"As the majority of the portfolio is comprised of Jersey entities, this transaction had a significant Jersey presence. Ogier's multidisciplinary approach and ability to advise on many different aspects of Jersey law therefore proved invaluable.
"In addition, this deal completed successfully on a tight timeline, showcasing the Corporate team's agility and client-centric philosophy in action."
The Ogier team worked closely with CMS Cameron McKenna Nabarro Olswang LLP and Addleshaw Goddard LLP.
