Ogier advises Ardonagh Group on multi-billion completed acquisition of PSC Insurance Group via a scheme of arrangement

Ogier's top-tier Jersey and Cayman corporate and finance teams have advised Ardonagh Group on its completed A$2.43 billion acquisition of PSC Insurance Group Limited.

The successful transaction involved the acquisition of the entire share capital of PSC Insurance Limited pursuant to a scheme of arrangement that came into effect on 11 October 2024.

The Ogier team was a cross-border collaboration between its Jersey and Cayman teams. The team was led by partners Oliver Richardson and Richard Bennett, with managing associates Kevin Grové, Rebekah Agyeman and associate Lara Morand also assisting on the transaction. Ogier was instructed by and worked with Herbert Smith Freehills.

Ardonagh Group and the legal teams also worked closely with corporate and fiduciary professionals at Ogier Global, working with associate director Tom Williamson, assistant manager Heather Rabet and administrator Cerys Griffith.
