Ogier advise gaming operator on £490 million software developer takeover

Ogier's Corporate team have advised online gaming operator JPJ Group Plc on their £490 million takeover of platform software developer Gamesys.

The transaction involved a complex restructure of the target group (comprising a number of cross-jurisdictional companies and disciplines) with the result that the new holding group will operate under the name Gamesys Group. The consideration for the transaction comprised of cash and new JPJ shares.

Gamesys operates real money online gaming websites and apps and holds a portfolio of well-known brand licences, including Virgin Games, Virgin Casino, Monopoly Casino and Heart Bingo.

The Ogier team – partners Simon Dinning and Matthew Shaxson, senior associate Kevin Grové and associate Chloe Watson-Hill – worked closely with Mischon de Reya on the multi-jurisdiction transaction.
